Sophisticated Ladies Beauty Wholesale Vendor Terms and Conditions

1. General Terms

1.1 These terms and conditions ("Terms") govern the sale of products by Sophisticated Ladies Beauty ("Vendor") to wholesale buyers ("Buyer").
1.2 By placing an order, the Buyer agrees to abide by these Terms.

2. Orders and Acceptance

2.1 All orders must be submitted in writing via email or through our designated ordering platform.
2.2 Orders are subject to acceptance by the Vendor. The Vendor reserves the right to refuse any order at its discretion.

3. Pricing

3.1 All prices are quoted in USD and are exclusive of taxes, duties, and shipping costs unless otherwise stated.
3.2 Prices are subject to change without prior notice. The price applicable to the order is the one in effect at the time of order placement.

4. Payment Terms

4.1 Payment must be made in full before the shipment of the order unless credit terms have been approved in advance.
4.2 Accepted payment methods include credit card, bank transfer, and other methods as agreed upon.
4.3 Late payments may incur a late fee of 1.5% per month on the outstanding balance.

5. Minimum Order Quantity

5.1 The Buyer must adhere to the minimum order quantity (MOQ) specified for each product.
5.2 Orders not meeting the MOQ will not be processed.

6. Shipping and Delivery

6.1 The Vendor will arrange for the shipment of products to the Buyer's specified address.
6.2 Shipping costs are the responsibility of the Buyer unless otherwise agreed.
6.3 Delivery times are estimates and are not guaranteed. The Vendor is not liable for delays.

7. Inspection and Returns

7.1 The Buyer must inspect the products upon receipt and report any discrepancies or defects within 7 days.
7.2 Returns are only accepted for defective products or errors in shipment. Approved returns must be in original packaging and condition.
7.3 The Vendor will provide a return authorization number for approved returns. Unauthorized returns will not be accepted.

8. Warranty

8.1 The Vendor warrants that products will be free from defects in material and workmanship under normal use for a period of 90 days from the date of delivery.
8.2 The Vendor's liability is limited to the replacement of defective products or a refund of the purchase price.

9. Limitation of Liability

9.1 The Vendor is not liable for any indirect, incidental, or consequential damages arising from the sale or use of its products.
9.2 The Vendor's total liability is limited to the amount paid by the Buyer for the products.

10. Confidentiality

10.1 Both parties agree to keep confidential any proprietary information disclosed during the course of their business relationship.

11. Governing Law

11.1 These Terms are governed by and construed in accordance with the laws of the state in which the Vendor is located.
11.2 Any disputes arising from these Terms will be resolved in the Vendor's local jurisdiction.

12. Amendments

12.1 The Vendor reserves the right to amend these Terms at any time. The updated Terms will be effective upon posting on the Vendor's website or other notification to the Buyer.

13. Entire Agreement

13.1 These Terms constitute the entire agreement between the Vendor and the Buyer and supersede all prior agreements, understandings, and communications.

By placing an order with Sophisticated Ladies Beauty, the Buyer acknowledges having read, understood, and agreed to these Terms and Conditions.
